Exhibitor Contract Terms
General
Exhibitor agrees to observe all points of information and regulations as set forth in the Florida Credit Union League’s CONTRACT TERMS AND REGULATIONS as is fully set forth herein. Violators of the Florida Credit Union League CONTRACT TERMS AND REGULATIONS shall be subject to immediate ejection, shall be liable for all damages resulting from the violation and may be prohibited from participating in exhibiting at future Florida Credit Union League annual conventions.
Exhibitor assumes entire responsibility and hereby agrees to protect, indemnify, defend and save Florida Credit Union League, the JW Marriott Orlando Grande Lakes and its employees and agents harmless against all claims, losses and damages to persons or property, government charges or fines and attorney’s fees arising out of or caused by Exhibitor’s installation, removal, maintenance, occupancy or use of the exhibition premises or a part thereof, excluding any such liability caused by the negligence of the JW Marriott Orlando Grande Lakes, its employees and agents.
In addition, Exhibitor acknowledges that the Florida Credit Union League and the JW Marriott Orlando Grande Lakes do not maintain insurance covering Exhibitor’s property and that it is the sole responsibility of the Exhibitor to obtain business interruption and property damage insurance covering such losses by Exhibitor.
Exhibitor’s Representative
The Exhibitor will name ONE individual as its appointed official representative and assumes responsibility for such representative, or alternate, being in attendance at its exhibit throughout all exhibit hours. A maximum of four people “manning” each booth at any one time is allowed.
Failure to Occupy Space
Any space not occupied by contracting Exhibitor by 4 p.m., Wednesday, June 11, 2008, will be deemed canceled by the Exhibitor unless prior approval for delayed occupancy was received from the Florida Credit Union League. This space may then be resold, reassigned or used by Florida Credit Union League without refund or any obligation to Exhibitor.
Limitations of Liability: Indemnification
The Florida Credit Union League will provide guard service during the official period of installation, showing, and dismantling and exercise reasonable care for the protection of Exhibitor’s materials and displays. However, neither the Florida Credit Union League, the JW Marriott Orlando Grande Lakes nor any agent or employee thereof will be liable for any loss or damage to Exhibitor’s property from fire, theft or any other cause, or for personal injury to agents or employees of the Exhibitor. The Exhibitor agrees to indemnify and hold harmless the Florida Credit Union League, its representatives, employees and agents, from any and all claims from property damage or personal injury by whomsoever sustained including the Exhibitor, its agents or employees which claims may be incident to, arise from, or be in any way connected with the Exhibitor’s occupation of display space and which are proximately caused by the negligence of the Exhibitor, his/her agents or employees.
Exhibit Dimensions
Exhibits are not to exceed eight feet in height. Displays covering the back of exhibit booths are not to exceed a depth of two feet so as not to obstruct the view of adjacent booths.
Admission
Florida Credit Union League shall have sole control over all admission policies at all times. All persons manning the booths will be required to wear a name badge supplied by the Florida Credit Union League while in attendance.
Special Restrictions
- Exhibitors are prohibited from direct selling of their services or products from their booths in the exposition hall; therefore, exchange of money is prohibited. The purpose of the Florida Credit Union League exhibit program is to display new materials and ideas of interest to credit unions. Direct sales in an Exhibitor’s hospitality suite or in an area other than the exhibit hall are not prohibited. Giveaways are permitted and also the discount selling of display items at the close of the exposition.
- Exhibitors are prohibited from using amplifying equipment of any nature without permission from the Florida Credit Union League and if permission is granted, the use of such equipment must not interfere with adjacent exhibitors or other activities in the exhibit hall.
- Exhibitors must confine their activities to the space for which they have contracted.
- Exhibitors will not be permitted to use strolling entertainment, or to distribute samples or souvenirs except from their own booths.
- Exhibitors who use costumed persons or mannequins should be sure that their manner and appearance does not offend even the most critical spectator.
- Fire hose cabinets must be left accessible and in full view at all times.
- Decorations and displays must be of nonflammable materials or must be treated for fire prevention by an approved method. All display materials must be flame proofed and subject to inspection by the Orlando Fire Department. No flammable fluids or substances may be used or shown in booths. Advice on methods and materials may be obtained from the official decorator.
- Exhibits, in design or operation, which are objectionable in the opinion of the Florida Credit Union League, will be prohibited.
- All activities, side trips, cocktail parties, etc., (other than in hospitality suites during approved hours) sponsored by Exhibitor must be approved by the Florida Credit Union League no later than one month preceding the date of the Convention. No activities will be approved if scheduled during the time of the official Convention functions or exhibit hours.
Cancellation Policy
By signing the Exhibitor Registration Form, you agree to abide by all the requirements and restrictions in the Contract Terms and Regulations provided on FCUL’s website at www.fcul.org and incorporated by reference herein. You understand that this is not a contract until officially accepted by the Florida Credit Union League, Inc. The full rental fee must accompany the agreement. A full refund of the booth rental price (minus $250 cancellation fee) will be made upon written request received by the exhibit coordinator prior to May 1, 2009. A full refund of the booth rental price (minus $500 cancellation fee) will be made upon written request received by the exhibit coordinator prior to May 15, 2009. A 50 percent refund will be made for cancellation requests received on or after May 15, 2009 but before June 1, 2009. No refunds will be made on or after June 1, 2009.
Convention Cancellation, Postponement or Relocation
The Florida Credit Union League shall not be liable, either financially or otherwise, in the event that the convention is canceled, postponed or relocated on account of fire, strikes, government regulations, casualties, acts of nature, force majeur, or other causes beyond the control of the Florida Credit Union League.
Care of Hotel Property
No signs or other articles are to be fastened to walls or electrical fixtures. The use of thumbtacks, tape, nails, screws, bolts, or any other tools or materials, which could mark the walls or floor, is prohibited.
Amendments
The Florida Credit Union League shall have sole authority to enforce and interpret all rules and regulations contained herein; to make any reasonable amendment thereto and to make such further rules and regulations as shall be necessary to the orderly conduct of the exposition. The Florida Credit Union League shall make reasonable efforts to inform all Exhibitors of any amendments and additional regulations adopted under this section.
Endorsement
The Florida Credit Union League acceptance of an Exhibitor in the exposition program does not constitute an endorsement of their product or service. The Florida Credit Union League reserves the right to accept or reject an exhibiting firm, based on the belief that they are reputable and that their product or service would be of interest or benefit to credit unions.
Miscellaneous
This contract is the entire and sole contract of the parties hereto with respect to its subject matter. Except as provided by the section titled “Amendments”, this contract may be modified or amended only by a written instrument executed by the parties hereto. There have been no representations, warranties, or promises outside of this contract. This contract shall take precedence over any other document that may be in conflict with it.
Responsibility
It is the responsibility of the exhibiting firm to be fully familiar with these contract terms and regulations and to see that each member of the firm attending the Convention, either as exhibit personnel or registrant, or both, is familiar with these contract terms and regulations.
